Podcast Ecosystem Sprint
Summary of Key Terms

1. Services
The Podcast Ecosystem Sprint ("Service") is a consulting service provided by Misbah Haque ("Consultant") to clients seeking podcast strategy and development support.
2. Payment Terms
Client agrees to a monthly subscription billed automatically on the same calendar date each month.
The first payment is due immediately upon signing up and BEFORE any sessions begin.
Consultant commits time and resources upfront; therefore, payment must be received before services commence.
Subscription will continue until canceled according to the cancellation policy below.
All payments are processed through Stripe and are non-refundable.
Standard package: $497/month for 6 months.
Accelerated package: $994/month for 3 months (same total cost, with sessions every two weeks).
3. Billing Cycle
The billing date is established on the date of the first invoice.
Client will be automatically billed on the same date each month (e.g., if first payment is on the 20th, subsequent payments will be on the 20th of each month).
Each payment covers services for the following 30-day period.
Late payments may result in suspension of services until payment is received.
4. Late Payments
Payments not received by the due date are considered late.
Consultant reserves the right to pause all services until payment is received.
Any sessions delivered before payment is received are at Consultant's sole discretion and do not alter the original billing schedule.
5. Cancellation and Early Exit
Client may cancel their subscription by providing written notice to hi@mizhq.com.
An early exit fee of $750 applies if Client wishes to terminate the service before completing the full term.
6. Scheduling and Attendance
Sessions must be scheduled at least 48 hours in advance, subject to Consultant's availability.
Client no-shows or cancellations with less than 24 hours' notice will count as a delivered session.
Rescheduling requests must be made at least 24 hours before the scheduled session.
Regular sessions are scheduled every month (standard package) or every two weeks (accelerated package).
Client may use their sessions back-to-back or compressed as needed, provided this is discussed and agreed upon with Consultant.
To maintain program momentum, paid sessions must be redeemed within 30 days of their scheduled billing date.
7. Service Scope
The Podcast Ecosystem Sprint includes 6 consultation sessions of 60 minutes each.
Services include strategic podcast planning, content development guidance, and personalized action plans.
Email support with up to 24-hour response time during business days is included.
Action items will be provided within 24 hours following each session, along with a session recap.
Services specifically exclude provision of software, equipment, audio/video editing, hosting fees, distribution costs, or technical setup of recording equipment.
8. Additional Support Sessions
Additional support sessions beyond the included sessions per month can be purchased at $250 per session.
Support needed beyond the initial 6-month term can be purchased at the same monthly rate as the original package.
Additional sessions are subject to Consultant's availability and must be scheduled at least 48 hours in advance.
Payment for additional sessions is due at the time of booking.
9. Client Compliance and Timeline Expectations
The Podcast Ecosystem Sprint is designed as a collaborative process where success depends on both parties fulfilling their responsibilities.
Consultant will provide expert guidance, strategic direction, and actionable steps to help Client achieve their podcast goals.
Client acknowledges that their podcast's success and timeline to launch are primarily dependent on their own implementation of Consultant's recommendations and action items.
The Service follows a proven framework with suggested timelines; however, Client is free to implement at their own pace.
Delays in implementation or extended timelines beyond those recommended are common in the podcast development process and will not affect the billing schedule.
Client acknowledges that billing will continue as scheduled regardless of their implementation pace or progress toward launch.
Consultant makes no guarantees about specific results or launch dates, as these ultimately depend on Client's execution of the action items provided.
If Client chooses to pause implementation or extend timelines, Consultant will continue to provide support for the duration of the paid Service period at their discretion.
10. Intellectual Property
All materials, strategies, and resources provided during the Service remain the intellectual property of Consultant unless explicitly stated otherwise.
Client may use these materials for their personal podcast development but may not resell or distribute them under any circumstances.
11. Confidentiality and Testimonial Rights
Consultant agrees to keep Client's sensitive business information confidential.
Client agrees to keep Consultant's proprietary methods, processes, and strategies confidential.
This confidentiality provision does not conflict with the testimonial rights granted below and survives the termination of this agreement.
By using our services, Client grants Consultant permission to use Client's name, likeness, testimonials, feedback, results, and project details for marketing and promotional purposes.
This includes but is not limited to use on Consultant's website, social media, newsletters, presentations, and other marketing materials.
Client may opt out of the testimonial portion of this clause by providing written notice to Consultant at hi@mizhq.com.
If requested, Consultant will share any testimonial or case study content for Client's review prior to publication.
12. Session Recording
Client acknowledges and agrees that all consultation sessions will be recorded.
Recordings are used for summarizing action steps, recalling information, and improving service delivery.
Recordings remain the property of the Consultant but will not be shared publicly without Client's permission.
13. Action Items and Email Support
Consultant will provide Client with action items after each session.
Client has access to email support between sessions for questions related to these action items.
Email responses are typically provided within 24 hours during business days.
For complex questions or inquiries requiring extensive feedback, response time may be extended beyond 24 hours.
If a question requires additional discussion time that would exceed the scope of email support, Consultant may suggest addressing it in the next scheduled session or booking an additional support session.
Email support is considered part of the consulting service and is covered by the monthly fee.
14. Dispute Resolution
Any disputes arising from this agreement shall first be addressed through good-faith negotiation between the parties.
If negotiation fails, disputes will be settled through mediation in Pennsylvania.
The prevailing party in any legal action shall be entitled to recover reasonable attorney's fees and costs.
15. Governing Law
This agreement shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.
This agreement applies regardless of Client's location, including international clients.
16. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, government restrictions, or internet service provider failures.
17. Limitation of Liability
Consultant provides guidance and strategy but does not guarantee specific results or outcomes.
Client is responsible for implementation and final decision-making regarding their podcast.
18. Communication
Primary communication will be through email.
Clients should expect responses within 24 hours during business days.
Email-based consulting and support is included as part of the Service.
19. Electronic Acceptance
By checking the box "I agree to the terms and conditions," making payment, or using our services, Client explicitly accepts these terms and conditions.
Client acknowledges that these actions constitute a legal signature and agreement to all terms contained herein.
20. Records
Consultant will maintain records of Client's acceptance of these terms, including timestamps, payment information, and other relevant data that demonstrates agreement to these terms.
These records may be used as evidence of agreement in the event of any dispute.
21. Severability
If any provision of this agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.
22. Assignment
Client may not assign or transfer any rights or obligations under this agreement without prior written consent from Consultant.
Consultant may assign rights or delegate duties under this agreement to third parties at Consultant's sole discretion.
23. Entire Agreement
This document constitutes the entire agreement between the parties with respect to the subject matter herein.
This agreement supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
No modification of this agreement shall be binding unless in writing and signed by both parties.
24. Electronic Signatures
Electronic signatures and agreements are considered as legally binding as physical signatures on this document.
25. Acknowledgment
By signing up for the Podcast Ecosystem Sprint, Client acknowledges they have read, understood, and agree to these terms and conditions.
Client specifically acknowledges and agrees to the automatic monthly billing that occurs on the same date each month and that payment is due before sessions begin.
26. Changes to Terms
Consultant reserves the right to modify these terms with 30 days' notice to clients.
Continued use of services after terms modification constitutes acceptance of new terms.
